These Terms of Service ("Terms") govern access to and use of the Gaindroid platform, website, signal streams, analytics, software, automation tools, and related services (collectively, the "Services"). By accessing or using the Services, you agree to comply with and be bound by these Terms.

1. Nature of the Platform

Gaindroid is an independent technology platform that provides AI-powered analytics, signal streams, account connectivity, and trade replication tools for compatible MT4 and MT5 trading accounts.

Gaindroid is not a financial services provider, broker, investment adviser, portfolio manager, fiduciary, discretionary trading service, or custodian of client funds.

2. No Financial Advice

All information, analytics, signal streams, market observations, reports, notifications, and platform features are provided strictly for informational, educational, and technological purposes only.

Nothing available through the Services constitutes:

• Financial advice
• Investment advice
• Investment recommendations
• Legal advice
• Tax advice
• Portfolio management
• A solicitation or offer to buy or sell any financial instrument

Users should seek independent professional advice where appropriate.

3. User Responsibility

Users remain solely responsible for all decisions relating to:

• Trading activity
• Broker selection
• Account configuration
• Capital allocation
• Risk management
• Leverage settings
• Participation in signal streams
• Trade replication settings

No Suitability Assessment

Gaindroid does not assess, monitor, or determine whether any signal stream, strategy, instrument, account type, broker, leverage setting, or level of risk is suitable for any user.

Users remain solely responsible for determining whether participation is appropriate for their individual circumstances.

4. Broker Relationships

Trading activity is executed through the user's selected broker.

Gaindroid does not:

• Open brokerage accounts
• Hold client funds
• Process deposits or withdrawals
• Execute trades on behalf of users
• Provide brokerage services

Users are responsible for complying with the terms, policies, and regulatory requirements of their chosen broker.

Gaindroid is not responsible for the performance, actions, omissions, availability, or services of any third-party broker.

5. Signal Streams and Trade Replication

Gaindroid may make signal streams and trade replication functionality available through the platform.

Users may independently choose whether to:

• Access signal streams
• Enable trade replication
• Configure participation settings
• Pause or disable replication

Users retain full control over account permissions, allocation settings, leverage, lot sizing, participation preferences, and risk parameters at all times.

6. Artificial Intelligence and Analytics

Gaindroid utilizes artificial intelligence, quantitative analytics, automation technologies, and market data processing systems to generate platform outputs and support signal streams.

AI-generated outputs, analytics, and platform information may contain inaccuracies, delays, omissions, interruptions, or errors.

Users acknowledge that AI-generated content should not be relied upon as a substitute for independent analysis, professional advice, or personal decision-making.

7. Performance and Risk Disclosure

Trading leveraged financial instruments carries significant risk and may result in substantial losses, including the loss of capital.

Past performance, historical activity, backtested results, simulated results, hypothetical results, and illustrative examples are not reliable indicators of future performance.

Gaindroid makes no representations, warranties, or guarantees regarding:

• Profitability
• Performance
• Returns
• Trading outcomes
• Future results

Users participate entirely at their own risk.

8. Fees and Charges

Gaindroid currently operates on a performance-based pricing model.

A performance fee of up to twenty percent (20%) may apply where replicated signal activity generates a positive net result during the applicable billing period.

Brokerage fees, commissions, spreads, swaps, financing charges, conversion costs, taxes, and other third-party costs remain the responsibility of the user.

Gaindroid reserves the right to modify pricing structures, subscription models, and fee arrangements at any time upon reasonable notice.

9. Acceptable Use

Users agree not to:

• Misuse the Services
• Attempt unauthorized access
• Circumvent security controls
• Reverse engineer platform components
• Interfere with platform operations
• Distribute malicious software
• Use the Services for unlawful purposes
• Infringe intellectual property rights

10. Availability of Services

Gaindroid does not guarantee uninterrupted availability of the Services.

Services may be modified, restricted, suspended, interrupted, or discontinued at any time without notice.

Gaindroid shall not be liable for outages, delays, data loss, broker connectivity issues, market disruptions, third-party failures, or technical interruptions.

11. Intellectual Property

All Gaindroid software, branding, trademarks, logos, content, analytics, signal methodologies, documentation, designs, reports, and platform features remain the intellectual property of Gaindroid or its licensors.

Users may not copy, reproduce, distribute, modify, reverse engineer, or commercially exploit any part of the Services without prior written consent.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Gaindroid, its operators, affiliates, contractors, licensors, and service providers shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or economic losses arising from:

• Platform usage
• Signal stream usage
• Trade replication
• Trading losses
• Broker actions or failures
• AI-generated outputs
• Technical failures
• Service interruptions
• Data inaccuracies
• Third-party integrations

Users acknowledge that all use of the Services occurs at their own risk.

13. Indemnification

Users agree to indemnify and hold harmless Gaindroid, its operators, affiliates, contractors, employees, and service providers against any claims, liabilities, losses, damages, costs, or expenses arising from:

• Platform usage
• Trading activity
• Regulatory obligations
• Breach of these Terms
• Misuse of the Services.

14. Privacy

Use of the Services is also governed by the Gaindroid Privacy Policy.

Users acknowledge that brokerage account administration, KYC verification, deposits, withdrawals, and trading account management are handled by their chosen broker and remain subject to the broker's own policies, procedures, and regulatory obligations.

15. Termination

Gaindroid reserves the right to suspend, restrict, or terminate access to the Services at its discretion, including where users:

• Breach these Terms
• Misuse the platform
• Create legal, operational, reputational, or security risks

16. Amendments

Gaindroid may modify or update these Terms at any time.

Continued use of the Services following publication of updated Terms constitutes acceptance of those changes.

17. Governing Law

These Terms are governed by and interpreted in accordance with the laws of the jurisdiction in which Gaindroid is established.

Any disputes arising from these Terms are subject to the jurisdiction of the competent courts of that jurisdiction.
